PB Fintech, the parent company of Policybazaar and Paisabazaar, has received in-principle approval to acquire the remaining 20% stake in MyLoancare Ventures Pvt Ltd for a consideration of up to ₹5 crore, according to a company exchange filing.
Following the proposed transaction, MyLoancare will become a wholly owned subsidiary of PB Fintech. The acquisition is expected to be completed through cash consideration by March 31, 2027.
The final consideration will be determined based on a valuation report and will be subject to approval from PB Fintech’s M&A and Investment Committee as well as acceptance by the selling shareholders.
PB Fintech had previously acquired a controlling stake in MyLoancare. Company filings show that PB Fintech increased its stake in the digital lending business to 70.10% in 2022.
MyLoancare’s Business and Financial Performance
Incorporated in 2013, MyLoancare is an RBI-registered non-banking financial company (NBFC) involved in digital lending technology, retail loan aggregation and financial product distribution.
The company witnessed a significant decline in turnover, with revenue falling to ₹82 lakh in FY26 from ₹8.7 crore in FY24, representing a decline of around 90.6%.
The proposed acquisition will give PB Fintech full ownership of MyLoancare as the group continues to consolidate businesses operating across the digital financial services ecosystem.
PB Fintech Approves Further Capital Infusions
Separately, PB Fintech has approved capital infusions of up to ₹10 crore in PB Wheels and ₹1 crore in PB Financial Account Aggregator, both of which are wholly owned subsidiaries.
The funds allocated to PB Wheels will be used towards working capital and operating expenses. The investment in PB Financial Account Aggregator will support operating expenses and meet RBI-mandated capital requirements.
PB Fintech Reports Strong Q1 FY27 Growth
The proposed acquisition comes as PB Fintech continues to report growth in its financial performance. For Q1 FY27, the company reported a 92% year-on-year increase in profit after tax to ₹163 crore, while operating revenue rose 40% YoY to ₹1,888 crore, from ₹1,348 crore in the corresponding period of the previous year.
PB Fintech’s latest moves across MyLoancare, PB Wheels and its account aggregator business indicate continued investment in its broader financial services ecosystem, alongside its core insurance and lending marketplace operations.
