Fleetx.ai, an AI-native fleet and logistics technology company, has acquired Transportation Management System (TMS) provider Pando.ai for an undisclosed amount. The acquisition is aimed at bringing fleet visibility and freight execution together on a unified platform powered by artificial intelligence.
The combined platform will enable customers to manage fleet operations and freight execution through a single technology stack, with AI capabilities integrated across the platform.
Pando.ai serves enterprises across multiple industries, with customers including Sun Pharma, Honda, Castrol, Godrej, Pernod Ricard, Berger Paints, Perfetti Van Melle and Orient Electric.
Following the acquisition, Pando.ai will continue to operate as a distinct brand while retaining its existing product portfolio and company identity. Fleetx.ai plans to build on Pando.ai’s TMS platform by integrating its AI capabilities and expanding the combined product offering.
Fleetx.ai, which has been operating for nine years, provides technology solutions to companies across logistics, construction, energy, retail and manufacturing. Its customer base includes UltraTech, Adani, AM/NS India, MP Birla Group, Maersk, Unilever and Mondelez.
As part of the transaction, Pando.ai’s entire leadership team has joined Fleetx.ai and will continue to lead the Pando.ai business. Fleetx.ai also plans to invest in Pando.ai’s products and AI capabilities to accelerate the development of the combined platform.
The acquisition comes as Fleetx.ai prepares for its next phase of growth. The company plans to prepare the combined business for a public listing over the next 18–24 months. It is targeting combined revenue of Rs 300–400 crore on a profitable basis by the time of the proposed listing.
The transaction is expected to strengthen Fleetx.ai’s position in the enterprise logistics technology market by combining fleet management, transportation management and AI-driven capabilities under a broader platform.
